Acceptance of Terms

By accessing this website, requesting a proposal or engaging VeloGrid Labs for any service, you agree to these Terms & Conditions. Where a signed project agreement or statement of work exists, that document takes precedence over any conflicting term here.

Services

VeloGrid Labs provides business support and technology implementation services, including:

  • Business systems design and implementation
  • CRM implementation, migration and optimisation
  • AI solutions and intelligent assistants
  • Website and web application development
  • Workflow and process automation
  • Business and technology consulting

The exact scope of any engagement is defined in the accepted proposal or statement of work.

Quotations & Proposals

Quotations are based on the requirements known at the time of issue and remain valid for 30 days unless stated otherwise. Pricing published on the website is indicative and does not constitute a binding offer.

Where requirements change materially after acceptance, a revised quotation will be issued for approval before further work proceeds.

Project Scope

Each engagement has a documented scope listing deliverables, assumptions, exclusions and dependencies. Anything not expressly listed is out of scope.

Requests outside the agreed scope are handled as a change request, quoted separately and scheduled by agreement.

Project Timeline

Timelines are estimates made in good faith and assume timely client input, access and approvals. Delays in feedback, credentials, content or third-party dependencies will shift delivery dates accordingly.

Client Responsibilities

  • Provide accurate business information, content and assets.
  • Grant the access, accounts and licences required for implementation.
  • Nominate a decision-maker empowered to approve scope and deliverables.
  • Respond to review requests within agreed timeframes.
  • Ensure the client holds the rights to any material supplied to VeloGrid Labs.

Communication

Project communication takes place by email and agreed collaboration channels during standard business hours. We aim to acknowledge project correspondence within one business day.

Revisions

Each deliverable includes a defined number of revision rounds, stated in the proposal. Revisions cover refinement within the agreed scope; new features or direction changes are treated as change requests.

Payments

Unless agreed otherwise, projects require an upfront deposit before work begins, with the balance invoiced at agreed milestones or on completion. Recurring support and subscription services are billed in advance.

All fees are exclusive of taxes, third-party licences, hosting and platform subscriptions unless expressly stated.

Late Payments

Invoices are payable by the due date shown. Overdue accounts may incur interest at the applicable statutory rate, and VeloGrid Labs may suspend work, support or access to delivered systems until the account is settled.

Refund Policy

Because services are delivered as bespoke professional work, fees for work already performed are non-refundable. Where a project is cancelled before completion, amounts paid are applied against work delivered to date and any verified balance is refunded.

Cancellation

Either party may cancel an engagement with written notice. On cancellation, the client is invoiced for all work completed and non-recoverable costs committed on the client's behalf up to the cancellation date.

Intellectual Property

On full payment, ownership of the final custom deliverables created specifically for the client transfers to the client.

VeloGrid Labs retains ownership of its pre-existing frameworks, internal tooling, methodologies, templates and reusable components used to produce those deliverables.

Licensing

Where deliverables incorporate VeloGrid Labs reusable components or third-party software, the client receives a non-exclusive, perpetual licence to use them as part of the delivered solution. Third-party software remains subject to its own licence terms and fees.

Confidentiality

Both parties agree to keep confidential all non-public business, technical and commercial information disclosed during an engagement, and to use it only for the purpose of the project.

VeloGrid Labs does not publish client names, screenshots or data without written permission. Case studies are anonymised by default.

Warranty

VeloGrid Labs warrants that services are performed with reasonable skill and care. Defects in delivered work reported within the agreed warranty period will be corrected at no additional cost.

The warranty does not cover issues caused by client modifications, third-party platform changes, misuse, or failures of external services.

Limitation of Liability

To the maximum extent permitted by law, VeloGrid Labs' total aggregate liability arising from an engagement is limited to the fees paid for that engagement.

VeloGrid Labs is not liable for indirect, incidental or consequential losses, including lost profits, lost revenue, lost data or business interruption. Nothing in these terms excludes liability that cannot lawfully be excluded.

Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including natural events, conflict, infrastructure or major third-party platform outages, or changes in law.

Termination

Either party may terminate for material breach that remains uncured 14 days after written notice. On termination, all outstanding fees for delivered work become immediately payable and each party returns or deletes the other's confidential information on request.

Applicable Law

These Terms are governed by the laws of the jurisdiction in which VeloGrid Labs is registered. The governing jurisdiction will be confirmed here once business registration is finalised.

Dispute Resolution

The parties will first attempt to resolve any dispute in good faith through direct discussion. If unresolved within 30 days, the dispute may be referred to mediation before either party commences formal proceedings.
